Affiliate Program terms of service
This Agreement contains the complete terms and conditions that apply to your participation as “Affiliate” of the AffiliationSoftware Affiliate Program.
Please read these terms of service carefully before you sign up to our affiliate program. By using our affiliate program, you indicate that you accept all these terms of service of this agreement and that you agree to abide by them. If you do not agree to these terms of service, please refrain from using our affiliate program.
Enrollment
To enroll in the AffiliationSoftware affiliate program, you must submit an affiliate application and be approved. Applications are processed daily and applicants will be notified of their acceptance status as soon as possible after their information is reviewed. By using our Affiliate Program, you warrant that: You are 18 years of age and that there is no legal reason that you cannot enter into a binding agreement. You are the owner or are licensed to use the entire contents contained on your website. Your website and/or newsletter does not violate any law or regulation. Your website and/or newsletter does not contain misrepresentation or content that is defamatory or violates any rights of privacy or publicity. Your website and or/newsletter does not and will not infringe any copyright, trademark, patent or other proprietary right. You place our banners anywhere on your site as you see fit, or within non-spam emails.
Payment and commissions
Affiliates will receive a commission from orders placed through properly coded affiliate links. Commissions rate may change at the discretion of AffiliationSoftware. For a sale to generate a commission to an affiliate, the customer must complete the order form and remit full payment for the product ordered through the secure order system. Commissions will only be paid on sales that are made when the customer clicks through qualified, correctly structured Affiliate links. An affiliate can receive the payment when their approved commissions reaches a minimum balance of 30 EUR. Approved commissions will be paid out monthly via PayPal or Skrill. We will not resend payments returned due to incorrect payment details.
Fraud
Fraud is a serious offense and will be treated as such. In case AffiliationSoftware decide in its own discretion, that an affiliate has participated or engaged in any activity that AffiliationSoftware finds to be fraudulent or harmful to the AffiliationSoftware brand and reputation, AffiliationSoftware can remove or suspend the Affiliate’s membership, without any prior alert. In the case of removal or suspension of the Affiliate any payments due will be forfeited at the time of removal or suspension.
Term of the agreements
The term of this Agreement will begin upon our acceptance of your Affiliate Program application and will end when terminated by either party. Either you or we may terminate this Agreement at any time, with or without cause, by giving the other party notice of termination. Notice by e-mail, to your e-mail address on our records, is considered sufficient notice for to terminate this Agreement. If this Agreement is terminated because you have violated the terms of this Agreement you are not eligible to receive any commissions payments, even for commissions earned prior to the date of termination. If the affiliate terminates the agreement, no further commissions from AffiliationSoftware will be paid for any past or future customer transactions.
Limitation of Liability
We will not be liable for indirect, special, or consequential damages, or any loss of revenue, profits, or data, arising in connection with this Agreement or the Affiliate Program, even if we have been advised of the possibility of such damages. Further, our aggregate liability arising with respect to this Agreement and the Affiliate Program will not exceed the total commissions paid or payable to you under this Agreement.
Disclaimers
We make no express or implied warranties or representations with respect to the Affiliate Program or an affiliate’s potential to earn income from the Affiliate Program. In addition, we make no representation that the operation of the websites or the Affiliate links will be uninterrupted or error-free, and AffiliationSoftware will not be liable for the consequences of any interruptions or errors.
Law and jurisdiction
The Agreement will be enforced and interpreted in accordance with the law and regulations of Switzerland, and excluding any section of the agreement that may be in conflict with its laws and regulations. The customer agrees to the sole jurisdiction of the supreme court of Bellinzona, Switzerland with respect to any conflict that may arise during or after this agreement.
Modification
We may modify any of the terms and conditions contained in this Agreement, at any time and in our sole discretion, by posting a change notice or a new agreement on this page. Modifications may include, but are not limited to, changes in the scope of available commissions, commission schedules, payment procedures, and affiliate program rules. If any modification is unacceptable to you, your only recourse is to terminate this agreement. Your continued participation in the affiliate program, following our posting of a change notice or new agreement on our site, will constitute binding acceptance of the change.
Miscellaneous
Our failure to enforce your strict performance of any provision of this Agreement will not constitute a waiver of our right to subsequently enforce such provision or any other provision of this Agreement. If any of the provisions of this Agreement are determined by a court to be unenforceable, they shall be severed from this Agreement, and the remaining provisions shall remain in full force and effect.
